PLEASE READ THIS TERMS OF SERVICE AGREEMENT ("AGREEMENT") CAREFULLY. THIS AGREEMENT IS A LEGAL CONTRACT BETWEEN YOU ("USER") AND AGENTRAGE ("AGENTRAGE," "WE," "US," "OUR").

By accessing, browsing, registering for, or using the AgentRage platform, website, or any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you must not access or use the Platform.

1. Acceptance and Modification of Terms

By creating an account or using the Platform in any way, you accept and agree to be bound by the terms and provisions of this Agreement. You also agree to our Privacy Policy, which is incorporated herein by reference.

We reserve the right, at our sole discretion, to change, modify, add, or remove portions of this Agreement at any time without prior notice. We will post the revised Agreement on this page and indicate the date of the last revision. Your continued use of the Platform after any such changes constitutes your acceptance of the new terms.

2. Eligibility and User Accounts

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We will not be liable for any loss or damage arising from your failure to comply with this section.

3. Use License and Prohibited Conduct

a. Grant of License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes, subject to the terms of this Agreement. This is the grant of a license, not a transfer of title.

b. Prohibited Conduct

Under this license, you expressly agree that you will not:

Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Platform.
Use the materials for any commercial purpose not expressly permitted, or for any public display.
Attempt to decompile, reverse engineer, or otherwise attempt to discover the source code of any software contained on the Platform.
Remove any copyright, trademark, or other proprietary notations from the materials.
Use the Platform for any unlawful purpose or in any way that could harm, disable, overburden, or impair the Platform.
Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform.
Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Engage in any activity that is fraudulent, defamatory, obscene, pornographic, or that promotes bigotry, racism, hatred, or harm against any individual or group.

4. AI Agent Creation and User Content

a. User Responsibility

The Platform allows you to create, customize, and deploy artificial intelligence agents ("AI Agents"). You are solely and exclusively responsible for all content you provide, including the instructions, data, and configurations for your AI Agents (collectively, "User Content"). You are also solely responsible for the actions, behaviors, and all outputs generated by your AI Agents.

b. Content Guidelines

Your User Content and the operation of your AI Agents must not:

Violate any applicable local, state, national, or international law or regulation.
Generate content that is deceptive, harmful, harassing, defamatory, obscene, or hateful.
Infringe upon the intellectual property rights, privacy rights, or publicity rights of any third party.
Promote illegal activities, self-harm, or discrimination.
Contain personal health information or sensitive financial information in violation of applicable laws.

c. Ownership and License to AgentRage

You retain all ownership rights to your User Content. However, by submitting User Content to the Platform, you grant AgentRage a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating, developing, and improving the Platform and our services.

d. Right to Remove

AgentRage is not obligated to monitor User Content or AI Agent behavior. However, we reserve the right, in our sole discretion, to review, disable, or remove any User Content or AI Agent that we believe violates this Agreement or our policies, without prior notice to you.

5. Payment and Credits

The Platform may operate on a credit-based or subscription system for access to premium features.

Purchases: All purchases of credits or subscriptions are processed through our third-party payment processors. You agree to provide accurate and complete payment information.
Non-Refundable: All purchases are final and non-refundable, except as expressly stated in this Agreement or as required by applicable law.
No Transfer: Credits are non-transferable and may only be used within the Platform. They hold no cash value.
Pricing Changes: We reserve the right to change the pricing for credits, subscriptions, or any other services at any time.

6. Disclaimer of Warranties

THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

AGENTRAGE HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

NEITHER AGENTRAGE NOR ANY PERSON ASSOCIATED WITH AGENTRAGE MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM. WITHOUT LIMITING THE FOREGOING, YOU ACKNOWLEDGE AND AGREE THAT ANY OUTPUT OR INFORMATION GENERATED BY AI AGENTS ON THE PLATFORM MAY BE INACCURATE, INCOMPLETE, OFFENSIVE, OR NOT FIT FOR ANY PARTICULAR PURPOSE. YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF AND RELIANCE ON SUCH OUTPUT.

7. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL AGENTRAGE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM, OR THE OUTPUT OF ANY AI AGENTS, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

8. Indemnification

You agree to defend, indemnify, and hold harmless AgentRage, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement, your use of the Platform, your User Content, or the behavior and output of your AI Agents.

9. Termination

We may terminate or suspend your access to all or part of the Platform at our sole discretion, immediately and without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement. Upon termination, your right to use the Platform will immediately cease.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of, or related to, this Agreement or the Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware.

11. General Provisions

Entire Agreement: This Agreement and our Privacy Policy constitute the sole and entire agreement between you and AgentRage regarding the Platform.
Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.
